The Senior Corporate Governance Manager is a key new member of the Group Corporate Governance team. Reporting to the Head of Corporate Governance, the post holder will be responsible for maintaining the highest levels of corporate governance across the Foundation Trust aspects of the Airedale Group structure and the CQC Well Led domain

The postholder’s key focus will be on the Board of Directors and Council of Governors and the systems and processes which support them. The Senior Corporate Governance Manager will manage a portfolio of Board, Council and Committee meetings by providing an outstanding function which provides expert and professional corporate governance advice, ensures that meetings are properly constituted in line with the Trust’s Constitution, Standing Orders and Scheme of Delegation, and appropriately recorded.


The Senior Corporate Governance Manager will manage the Council of Governors election/appointment process and support new Governors in their induction and all Governors in their on-going training. The post holder will also play a lead role in managing and developing the Foundation Trust membership.


The Senior Corporate Governance Manager will also support Non-Executive Directors, especially at the recruitment and induction stage, and also by providing on-going corporate governance advice and support. The post holder will oversee and monitor the Board’s development programme.
The Senior Corporate Governance Manager will support the Head of Corporate Governance by deputising in their absence and leading on key aspects of the compliance framework including declarations of interest, drafting sections of the annual report and preparing or checking papers 
for Board, Council or Committee meetings.

Qualifications

  • Masters in Corporate Governance, Manchester Business School Post Graduate Certificate in Healthcare Policy or Advanced Certificate in Healthcare Governance, or equivalent experience
  • Post graduate level knowledge and practice of NHS corporate governance gained through substantial evidence of working in a senior capacity in the NHS or related field.
  • Working towards or in possession of specialist/technical qualification e.g., Post Graduate Certificate in Healthcare Policy or Advanced Certificate in Healthcare Governance
  • Commitment to continuing professional development.

  • Sound knowledge of NHS Foundation Trust governance Issues.
  • Management qualification.

Knowledge

  • Understanding of role and relationships between the Board of Directors and Council of Governors including specialist roles eg Chair, Chief Executive, Non-Executive Directors, Executive Directors, Lead Governor, voting/non-voting

  • Highly developed knowledge of health service and corporate governance issues.

Experience

  • Experience of working with and supporting a Board of Directors or Governing Body within a large complex organisation and advising on highly complex matters.
  • Experience of supporting and advising Board level Committees
  • Experience, knowledge and application of corporate governance legislation and best practice especially in complex and devolved settings
  • Experience of working with report authors on the production of high-quality reports
  • Track record of initiating and implementing good administrative and reporting systems.
  • Experience of working in an organisation under public and political scrutiny.
  • Experience of successfully working with a range of stakeholders, including the public, Council of Governors, Trust membership and system partners and balancing their different needs and requirements
  • Experience of checking Board/Committee reports prior to publication

  • Ability to assess and explain highly complex governance matters to non-experts and present information to large and influential groups in a way which is clear and easy to follow
  • Ability to prioritise and manage busy workload, working under pressure and to tight and often challenging deadlines.
  • Advanced IT skills (word processing, excel, powerpoint, internet).
  • Ability to manage and monitor budgets
  • Problem solving skills and ability to anticipate and resolve problems before they rise, as well as respond to sudden unexpected demands.
  • Experience of leading, managing and motivating staff to constantly achieve excellent results.
  • Ability to monitor compliance requirements and where necessary influence relevant policies and changes to policies.
