Job overview

We are seeking to appoint an interim Corporate Governance Manager to assist the Head of Corporate Governance in ensuring that the Trust has effective integrated corporate governance arrangements in place and to ensure that the Board is supported effectively.

Main duties of the job

The role will incorporate the following key elements:

  • To  support  the  Head  of  Corporate  Governance  in  the  management  of  Board/sub- committees, Council of Governors, wholly owned subsidiary and joint venture  meetings;
  • To support the Head of Corporate Governance in the management of constitutionally compliant elections;
  • To support the Corporate Governance function;
  • To support the Annual Members’ Meeting/AGM preparations;
  • To    manage  the    Membership  Engagement  database,  the  Declarations  (Declare) database and provide guidance to staff regarding their declarations;
  • To support Board compliance with all relevant legislation and regulations.

The post requires excellent organisational, communication and minute taking skills.

Education, Training & Qualificiations

Essential criteria
  • ICSA Healthcare Governance qualification or equivalent – or strong previous/current relevant work experience

Experience

Essential criteria
  • Organising, producing and circulating agendas, minutes and reports for senior level committees
  • Providing guidance on matters of governance to staff
  • Attending senior level committees and recording the business of the meeting
  • Communicating with Senior Managers, including Board Directors and Non Executive Directors
  • Organising meetings and events involving staff and/or the public
Desirable criteria
  • Short term and long term planning and delivery of distinct projects
  • Experience of working with projects where multiple work procedures and practices exis
  • Interpreting & implementing national local service/Trust policies

General and Special Knowledge

Essential criteria
  • In-depth knowledge and application of the corporate governance system ie Board and sub-committee structure
  • Knowledge of the regulatory regime required for Foundation Trust status
  • Knowledge of national policies and procedures across health , and its local implementation or application
  • In depth knowledge of software packages including ,Word , PowerPoint ,Excel

Skills and Abilities

Essential criteria
  • Excellent interpersonal skills – including observation, written and oral skills, including minute writing skills
  • Ability to plan, implement and deliver on a variety of projects/workstreams
  • Ability to respond to changing needs of a large, highly complex project
  • Excellent prioritisation and organisational skills
