This is a great opportunity for an experienced Corporate Governance and Administration person to make a difference within the Mental Health and Learning Disabilities and Autism trust, taking a proactive role in ensuring that we continue to improve and maintain our corporate governance that ultimately serve our community, people who use our services and the people who care for them. The successful candidate will support the Associate Director of Corporate and Affairs and Company secretary ensuring the smooth running of the Trust's formal governance arrangements at Board and Committee level. Working with and to Deputy Chief Executive they will ensure that the Corporate Affairs of the Trust are conducted smoothly and efficiently.

To thrive as our Lead for Corporate Affairs and Administration we anticipate that you will be drawing on extensive experience in demanding governance and administration roles and will be effective at managing a very busy and extensive portfolio of work. We are looking for you to have the confidence to work autonomously and, above all else, to be a credible and knowledgeable in corporate affairs, someone who is keen to really understand our governance and those within an integrated systems we work within.
This is a role with a significant amount of engagement and interaction with members of the Board, senior managers, system partners and directorates across the organisation. To support and deputise on behalf of the Associate Director of Corporate Affairs and Company Secretary and responsible for the effective and efficient management of the administration and business of the Board and its committees and for the effective and efficient management of the flow of information, efficient management monitoring and implementation of national policies and practices, support the formulation of long term strategic plans and to do so as part of a wider distributed administrative function.

KEY RESPONSIBILITIES
1. To work with the Associate Director of Corporate Affairs and Company Secretary (AD of CA and CA) and the Trust’s senior leadership to develop and lead on the delivery of the Trust’s governance which will support the delivery of the Trust’s strategy and vision for the future and links with other to improve communications and engagement with internal and external stakeholders.
2. To be responsible for supporting and delivering the overarching governance arrangements in the Trust.
3. To deputise for the AD of CA and CS provide high quality advice to senior leaders on governance arrangements including:
• Corporate advice on governance
• Administration management
• Information flow management
4. The job holder will be responsible for the effective and efficient management of the business of the Trust Board and its committees. Providing and maintaining excellent corporate governance procedures covering the business of the Trust Board and the Board Committees.
5. In the absence of the Associate Director of Corporate Affairs and Company Secretary provide advice to the Board and Board Committees on the management arrangement of the meetings and the governance flows
6. Maintain an effective and efficient system of management that supports all administrations staff within the corporate governance directorate. Lead the management of all administration staff within the corporate governance directorate.
7. To oversee and be responsible for the Chief Executives Office and all the duties required to ensure the Chair, CEO and DECO have appropriate administrative support
8. Lead and ensure the duties undertaken by the Corporate Affairs Team and associated teams are done to statutory and Quality Improvement standards e.g. FOI, Risk
9. Coordinate and facilitate the delegated administration support in preparation, presenting and distribution and follow up of all administrative related Trust Board and Sub Board committees
10. Lead and support the co-ordination of the Board to floor Trust Board executive and non-executive directors to ensure equity of provision and reports and to collate the information for sharing with the Nursing and Quality Directorate
11. Work with other directors and divisions to ensure there is a consistency of understanding the
governance flows
12. Provide independent and impartial advice and support to the Chair and NEDs as directed by the
Deputy Chief Executive and the ADCS&CA.
13. Support the ADCS&CA in the provision of information related to compliance with legislation including the Code of Governance and Provider Licence. Support the Associate Director of Corporate Affairs and Company Secretary in the review of Standing Orders, Standing Financial Instructions and Scheme of Delegation.
14. Providing specialist advice to the Board of Directors and all staff on corporate governance matters including assessing and recommending courses of action involving complex governance
issues.
15. Providing and receiving highly complex, sensitive, and/or contentious information and utilising
communication, diplomacy, and negotiation to persuade the Board of Directors and senior
leaders within the Trust of the importance of governance programmes.
16. Presenting complex, sensitive and/or contentious information to large groups including at formal Board-level committees and external meetings.
17. In collaboration with the ADCS&CA maintaining and updating the terms of reference and cycles
of business for the committees of the Board of Directors and the Partnership Board and its committees and groups.
18. To manage and have oversight of the day to day flow of information within the corporate governance arena, including information due for committees and board, agenda management,
and report requirements.
19. To work with Directors and their direct reports to ensure information is provided to the corporate
meetings on a timely basis meeting the governance standards put in place.
20. The job holder will in conjunction with the ADCS&CS manage the performance and direction of the Corporate Affairs Team and will employ their highly developed and specialist knowledge of
governance in delivering the highest standards of corporate governance in the Trust, ensuring
compliance with the regulatory framework, the Provider Licence, relevant legislation. Support
the Associate Director of Corporate Affairs and Company Secretary in the review of Standing Orders, Standing Financial Instructions and Scheme of Delegation.
21. The job holder will monitor and implement national policies and practices and will support the
ADCS&CA developing and advising on corporate strategy, change management, and business planning.
22. Challenge and manage poor financial management and poor use of any resources.
23. Ensure that your use of resources is in accordance with AWP Standing Orders and Standing
Financial Instructions.
24. Manage and support the Internal and External audit cycle and subsequent outcomes to effective
delivery.

Qualification

- Professional qualification in healthcare governance in relevant and related subject or equivalent level of knowledge acquired through experience that equates to master’s level
