Our Chief Governance Officer role is a challenging yet rewarding opportunity where you will need to be an exceptional and highly skilled senior leader who will be a key member of the Executive Management team. 

Combining the roles of Director of Corporate Governance and Company Secretary, you will need have experience working at a similar level and possess the specialist knowledge and depth of experience to deliver, and embed, a structured approach to corporate governance, Trust-wide. You will also ensure that the Trust complies with relevant legislation and operates in accordance with the organisations CQC provider licence at all times.

The Chief Governance Officer will be required to have a strong and visible presence across the Trust and will need to ensure that governance, risk, legal and our health and safety across the Trust are positive, proactive and influential in contributions to the Trust’s strategic and operational planning processes moving forward.

The role will be primarily based from Northern House in Bicester, Oxfordshire - 2/3 days per week with the other days being home working. There will be an expectation for the post holder to travel to other SCAS locations as and when required.

 

Main duties of the job

Managing a team is a core responsibility of the role as the Governance team supports all meetings of the Board and its five assurance committees, along with servicing the Council of Governors and its sub-committees.  

Risk management is a significant area of focus for this post as the Trust develops and embeds its Board Assurance Framework and Corporate Risk Register.

You will need excellent communication and people skills as you will be required to communicate with a variety of stakeholders both internally and externally to ensure sound governance of the Trust along with, efficiency, effectiveness, integrity and strong business focus for the organisation.

You will be required to provide professional advice and guidance to the Board of Directors and the Council of Governors, and to act as the principal advisor to the Chair and Chief Executive on all matters relating to governance, statutory compliance, regulation and legal aspects.

Detailed job description and main responsibilities

·        To lead the effective functioning of the meetings of the board or Directors, council of Governors and all associated committees through:

o   Developing and implementing Board and Board Committee governance assessment methodology; allowing for the continual improvement of Board and Committee functionality including maintaining the annual cycle of business and work plans.

o   To draft and present reports on Corporate Governance to the Board and Board Committees.

o   Ensure the Constitution, Standing Orders and Standing Financial Instructions are adopted, acted upon, reviewed and updated, as necessary and to ensure compliance with legislation including the NHS Act 2006.

o   Advising the Chairman, other Committee Chairs and Executive Directors with regard to matters of legislation, governance, risk, procedure and process.

o   Undertaking checks of all Board of Directors and Council of Governors (and related meetings) materials to ensure suitability in terms of both quality, consistency and appropriateness (particularly in terms of political/public sensitivity and confidentiality).

o   Ensuring compliance with the Standing Orders of the Board of Directors, the Standing Orders of the Council of Governors, the Standing Financial Instructions (SFIs) and the Scheme of Reservation & Delegation. In particular, ensuring the safe custody and legally compliant application of the Trust Seal, Board decisions via ‘e-governance’.

o   To work with the Communications Team in leading on the compilation of the Annual Report and ensuring compliance with the FT Annual Reporting Manual.

o   Maintain the register of interests for Directors, Governors, and senior managers and ensure compliance with national guidance regarding declarations of interest. Make available documents for public inspection where appropriate.

o   Oversee the management of an effective and proficient in-house Legal Services Team for the Trust and oversee the commissioning of external legal advice where necessary to ensure the efficient and effective resolution of issues.

o   Act as a central point of contact and expertise for all internal and external queries in relation to Board, sub-committee and Council of Governors meetings, Terms of Reference and other matters.

Qualifications

Essential criteria
  • Undergraduate and Postgraduate degree in a related discipline or equivalent experience specifically in relation to corporate governance/compliance work
  • Professional specialist and strategic level knowledge acquired across a range of activities relating to Trust governance and managing the secretariat
  • Substantial experience in a similar post with evidence of success
Desirable criteria
  • Qualified Chartered Secretary
  • Member of the Chartered Governance Institute

Experience

Essential criteria
  • Extensive understanding of NHS Legislation and the Foundation Trust governance framework
  • Significant experience of managing staff
  • Experience at operating at Board level
Desirable criteria
  • Ability to demonstrate a thorough understanding of NHS structures and current issues

Specific Competencies

Essential criteria
  • Strong analytical skills and the ability understand issues rapidly and explain them clearly and succinctly
  • Strong evidence of experience in handling complex arrangements to a high degree of accuracy, timeliness and effectiveness, including managing multiple deadlines
